Please read this agreement carefully before using or registering for this Service.

übermuscle is a service offered under conditions set forth herein. This is a legal agreement ("Agreement") between you and übermuscle (the "Service"). Please read this Agreement carefully before registering for the Service.

By completing your registration and clicking on the "I Accept" button, you will become a registered user of the Service (a "Registered User") and you agree to be bound by the terms and conditions of this Agreement (the "Terms") for as long as you continue to be a Registered User.

If you do not agree to the terms, please do not register for the service. These Terms are subject to change at any time, effective upon notice to you, and any use of the Service after such notice will constitute acceptance by you of such changes.

Minors:

Minors may not become registered users. By registering, you represent and warrant that you are at least 18 years old.

Exclusive Use:

This is a private community. Your account is for your sole, personal use; you may not authorize others to use your account, and you may not assign or otherwise transfer your account to any other person or entity. Your account may not be used for, or to promote, any business, commercial purpose, or subscription-based service.

Online Conduct:
As a Registered User, you agree that:

You are solely responsible for the content or information you publish, display or otherwise communicate in any manner (hereinafter, "post") on the Service, or transmit to other Registered Users.

You will use the Service in a manner consistent with any and all applicable local, state, national and international laws and regulations. Membership in, and use of, the Service is void where prohibited.

You will not provide inaccurate, misleading or false information to this Service or to any other Registered User. If information provided subsequently becomes inaccurate, misleading or false, you will promptly notify this Service of such change.

You will only create one unique profile on the site.

You will not use this Service to post, copy, modify, transmit, show in public or private, create any derivative works from, distribute or reproduce in any way any copyrighted material, trademarks, or other proprietary information without obtaining license or prior consent of the owner of such proprietary rights.

You are solely responsible for your interactions, either online or in person, with other registered users.

You understand that this Service makes no guarantees, either express or implied, regarding your compatibility with individuals you meet through this service.

You will promptly report any violation of the Terms of this Agreement by others, and will maintain the privacy and confidentiality of other registered users.

Community Standards:

We encourage an atmosphere of diversity, acceptance, understanding and thoughtful debate. Please be friendly and civil when interacting with other registered user; this service is not to be used in a manner which provokes, harasses, or defames any individual or group.

We reserve the site to monitor or review discussions, chats, postings, email transmissions, bulletin boards, and the like, although we are under no obligation to do so and assume no responsibility or liability arising from the content of any such locations nor for any error, defamation, libel, slander, omission, falsehood, obscenity, pornography, profanity, danger, or inaccuracy contained in any information contained within such locations on the site.

You are prohibited from posting or transmitting any unlawful, threatening, libelous, defamatory, obscene, scandalous, inflammatory, child pornography, or profane material or any material that could constitute or encourage conduct that would be considered a criminal offense, give rise to civil liability, or otherwise violate any law.

We will fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity of anyone posting any such information or materials.

Mature Content:

The owners and operators of this Service are not the primary producer (as that term is defined in 18 U.S.C. Section 2257 and 28 C.F.R. Part 75) of the visual content contained on übermuscle, and therefore is not subject to record-keeping provisions of 18 U.S.C. 2257 (a)(c). In connection with User submissions, you agree that you will not: post and or allow another to post or be in any way involved in the posting of any material that depicts or implies and person or persons under the age of 18. Such use is banned and the User practicing such usage will be reported to the relevant authorities. übermuscle does not endorse any user submissions or any opinions, recommendations, or advice expressed therein, and expressly disclaims any and all liability in connection with user submissions.

Proprietary Rights:

This Service contains copyrighted material, trademarks, and other proprietary information. In addition, other Registered Users may post copyrighted information, which has copyright protection whether or not it is identified as copyrighted.

Except for that information which is has been identified as released into the public domain or for which you have been given permission, you agree not to post, copy, modify, publish, transmit, distribute, perform, display, or sell any such proprietary information.

By posting information or content to any public or private area of this site, you automatically grant, and you represent and warrant that you have the right to grant, to this Service and other Registered Users an irrevocable, perpetual, non-exclusive, fully-paid, worldwide license to use, copy, publicly perform, publicly display and distribute such information and content and to prepare derivative works of, or incorporate into other works, such information and content, and to grant and authorize sub-licenses of the foregoing.

Confidentiality:

With the exception of the information provided to other Registered Users pursuant to the terms of the Service, this Service will keep confidential all information supplied by you, and shall use or disclose such information only for the purposes for which such information was collected, or as required by court order or applicable law. By using this Service, you agree to allow übermuscle to feature your profile within our services.

Warranties:

übermuscle provides this Service on a "as is" basis and grants no warranties of any kind, whether express, implied, statutory or otherwise.

Limitation of Liability:

In no event shall this Service be liable for any incidental, consequential, or indirect damages arising out of or relating to the use or inability to use the Service, including, without limitation, damages for loss or corruption of data or programs or service interruptions.

Indemnity by Registered Users:

You will indemnify and hold harmless this Service, its owners, officers, directors, employees, members, agents and third parties, for any losses, costs, liabilities and expenses (including reasonable attorneys' fees) relating to or arising out of your use of this Service or interaction with others utilizing this forum, including but not limited to, any breach by you of the terms of this Agreement.

Termination:

You may terminate your account at any time, for any reason or no reason, without explanation, by clicking the "Delete Account" link located under "Edit My Account Settings" link on your user Account page. übermuscle may terminate your account as well, at any time, for any reason or no reason, and without explanation.

Additional Terms and Conditions Related to Advertisements and 3rd Party Offers:

This Service displays and distributes third party content in the form of feature articles, advertising, promotions or other content not attributed to the Service or übermuscle, and may receive compensation related to the sale or distribution of this content or service. Information related to these offers is provided by the advertiser or content provider, has not been verified as accurate or all-inclusive, and may be subject to change. This Service implies no warranties or obligations relating to any content or offer for goods and services, and encourages you to obtain all necessary information before committing in contract or payment to any offer or promotion.

You agree that by choosing to purchase or engage in any offer or service promoted on this site, that you do so freely and willingly, that this action creates no contract or agreement of past, present or future services with this Service, and you agree to hold harmless the owners and operators of übermuscle from any and all liability arising from my actions or the actions or obligations of third party vendors, advertisers, contractors, or content and/or service providers.

General Provisions:

You agree that the laws of the State of Arizona, within the United States of America, (regardless of conflicts of law principles) shall govern this Agreement, and that any dispute arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the federal and state courts in the District of Arizona, other than for actions to enforce any order or judgment entered by such courts.

This Agreement, accepted upon registration for the Service, contains the entire agreement between you and this Service regarding the use of übermuscle. Unless otherwise explicitly stated, the terms will survive termination of your registration to the Service. If any provision of this Agreement is held invalid, the remainder of this Agreement shall continue in full force and effect.
